Amphenol Corporation has announced a definitive agreement to acquire CommScope’s Connectivity and Cable Solutions (CCS) division for a total of $10.5 billion in cash. This significant move is poised to transform the landscape of the global connectivity sector and strategically realign both companies.
This acquisition occurs as CommScope undertakes a wider restructuring process. As a publicly traded entity listed on NASDAQ, CommScope will divest the CCS division with the intention of enhancing operational efficiency. The transaction is still subject to regulatory review and must receive approval from shareholders under Delaware law, with expectations set for closing in the first half of 2026. CommScope anticipates netting around $10 billion after factoring in taxes and associated expenses, which they plan to use primarily to clear outstanding debt and redeem preferred shares held by Carlyle Group.
CommScope has also indicated that it will return some of the excess capital to its shareholders through dividends within 60 to 90 days post-closure of the deal, with the precise amount contingent on the financial conditions at that time. CEO Chuck Treadway has characterized this deal as a pivotal moment for CommScope, highlighting its role in unlocking value for shareholders and in paving the way for growth in its remaining sectors – ANS and RUCKUS, which will focus on advancing next-generation networking solutions.
