Nvidia Acquires Groq’s Inferencing Chip Technology and Welcomes Its Leadership Team

Nvidia has entered a licensing agreement with Groq, an AI chip designer, securing access to its inferencing chip technology while also hiring key executives from Groq. This arrangement, however, falls short of a full acquisition.

An Nvidia spokesperson confirmed the deal, stating that they were not buying Groq outright but instead opted for a non-exclusive license of Groq’s intellectual property (IP). This strategic move could help Nvidia reduce supply chain risks and explore new market opportunities while avoiding the potential antitrust issues that might arise from a complete acquisition.

Groq specializes in chips specifically designed for AI inferencing. Unlike Nvidia’s graphics processing units (GPUs), which are primarily used for training AI models, Groq’s chips, known as language processing units (LPUs), are more cost-effective and less power-hungry. With the evolution of the AI landscape shifting from development to application, there is an expected increase in demand for such inferencing-optimized devices.

In addition to licensing its technology, Groq operates a service called GroqCloud, offering AI inferencing capabilities on-demand. Following the deal, Groq announced that its founder, Jonathan Ross, its president, Sunny Madra, and other team members would join Nvidia in advancing the new technology.

Estimates suggest the deal’s value could reach as much as $20 billion. This significant collaboration highlights a growing tension in the chip supply chain essential for AI applications, as Nvidia has reported some of its products being sold out or heavily utilized. Analysts point to the shortage of high-bandwidth memory as a critical factor contributing to these supply challenges.

Groq’s chip technology employs static RAM (SRAM) rather than the high-bandwidth memory used by Nvidia’s chips, which is not only experiencing increased demand but is also limited in supply. This difference could allow Nvidia to diversify its memory sourcing and reduce reliance on high-cost memory options.

By choosing to license Groq’s technology instead of acquiring the company, Nvidia limits its exposure to antitrust scrutiny and sidesteps complications associated with Groq’s inferencing-as-a-service business. Notably, Nvidia’s current focus seems to be shifting away from its own service offerings, moving toward restructuring them to better align with internal engineering goals.

Although Nvidia has not disclosed the specific roles of the executives it has hired, LinkedIn profiles indicate that Jonathan Ross has stepped in as chief software architect and Sunny Madra is now vice president of hardware at Nvidia. Groq’s remaining operations will be led by Simon Edwards, who joined Groq as CFO just three months prior to the deal.
